1. Introduction
These Terms and Conditions ("Terms") govern your access to and use of Doctor Lead, an AI-powered lead intelligence and outreach support platform operated by Lighthouse Advisory ("Doctor Lead", "we", "us", or "our").
By accessing, registering for, or using Doctor Lead, you agree to be bound by these Terms. If you do not agree, you must not use the Service.
2. Definitions
- "Account" means a registered account used to access the Service.
- "AI Output" means any content, recommendations, summaries, insights, drafts, analyses, or other materials generated through the Service.
- "Authorised User" means any individual permitted by a Customer to access or use the Service.
- "Customer" means any individual, business, organisation, agency, consultant, contractor, or other entity using the Service.
- "Customer Data" means any information, content, documents, files, contact information, prospect information, communications, or other data submitted, uploaded, imported, generated, or stored through the Service.
- "Service" means the Doctor Lead platform, software, website, applications, features, AI systems, and related services.
- "Subscription" means a paid or unpaid plan providing access to the Service.
- "Third-Party Services" means external providers, platforms, software, AI systems, communication providers, data providers, payment processors, and integrations used with the Service.
3. Eligibility and Accounts
- You must be at least 18 years old to use the Service.
- If you use the Service on behalf of a business or organisation, you represent that you have authority to bind that organisation to these Terms.
- You are responsible for maintaining the confidentiality of your login credentials and for all activities occurring under your Account.
- You may allow Authorised Users to access your Account. You remain responsible for all activities conducted through your Account.
- You agree to provide accurate and complete information and keep such information updated.
4. Description of the Service
Doctor Lead is an AI-powered lead intelligence and outreach support platform designed to help businesses identify prospects, organise lead information, generate insights, and assist with personalised outreach.
Doctor Lead provides tools and assistance only. Doctor Lead does not act as your employee, agent, legal advisor, financial advisor, compliance advisor, or representative.
Doctor Lead does not guarantee:
- lead quality;
- contact accuracy;
- outreach performance;
- email deliverability;
- response rates;
- meetings booked;
- sales generated;
- revenue generated; or
- any specific business outcome.
5. Subscription, Billing and Payment
- Certain features require a paid Subscription.
- Subscription fees are billed in advance and are non-refundable except where required by law or expressly approved by Doctor Lead.
- Subscriptions automatically renew unless cancelled before the renewal date.
- Cancellation takes effect at the end of the current billing period.
- Unused credits, usage allowances, or subscription benefits are non-refundable and have no cash value.
- Doctor Lead may modify pricing, plans, features, or billing structures upon reasonable notice.
- Failure to pay fees may result in suspension or termination of access.
6. Customer Data
- The Customer retains ownership of Customer Data.
- The Customer grants Doctor Lead a limited licence to host, store, process, analyse, display, transmit, and otherwise use Customer Data solely for providing, maintaining, improving, securing, and supporting the Service.
- The Customer represents and warrants that it has all necessary rights, permissions, consents, and authority to upload and use Customer Data.
- Doctor Lead may use anonymised and aggregated data for analytics, product improvement, reporting, research, security, and operational purposes.
7. Responsible Use of Doctor Lead
- The Customer is solely responsible for all decisions, actions, communications, campaigns, and outreach activities conducted using the Service.
- The Customer is responsible for reviewing and approving all AI Output before use.
- The Customer is responsible for ensuring compliance with all applicable laws, regulations, privacy requirements, anti-spam rules, platform policies, and industry-specific requirements.
- The Customer is responsible for ensuring that all prospect data, contact information, and outreach activities are lawfully obtained and conducted.
- Doctor Lead assists with outreach and lead intelligence but does not assume responsibility for Customer communications or business activities.
8. AI Output Disclaimer
- AI Output may be inaccurate, incomplete, outdated, misleading, or unsuitable for a particular purpose.
- Customers should independently verify AI Output before relying on it.
- Doctor Lead does not guarantee the accuracy, reliability, completeness, legality, or usefulness of AI Output.
- AI Output does not constitute legal, financial, tax, compliance, investment, employment, or professional advice.
- The Customer remains solely responsible for all decisions and actions taken based on AI Output.
9. Prohibited Activities
You may not:
- use the Service for unlawful purposes;
- send spam or unsolicited bulk communications in violation of applicable laws;
- engage in harassment, fraud, deception, or impersonation;
- distribute malware or harmful code;
- interfere with the operation or security of the Service;
- attempt to gain unauthorised access to the Service;
- reverse engineer, decompile, copy, or replicate the Service;
- use the Service to build a competing product;
- resell or provide unauthorised access to the Service;
- circumvent usage limits or technical restrictions;
- use the Service in a manner that may harm Doctor Lead, its users, partners, or reputation.
10. Third-Party Services
- The Service may integrate with or rely upon Third-Party Services.
- Doctor Lead does not control Third-Party Services and is not responsible for their availability, performance, policies, actions, data practices, or decisions.
- Changes made by Third-Party Services may affect the functionality of the Service.
- Customers are responsible for complying with the terms and policies of any Third-Party Services they use.
11. Intellectual Property
- Doctor Lead and its licensors retain all rights, title, and interest in the Service, including all software, workflows, systems, designs, branding, technology, documentation, and intellectual property.
- No rights are granted except as expressly stated in these Terms.
- Customer Data remains the property of the Customer.
- Feedback, suggestions, recommendations, or ideas provided by Customers may be used by Doctor Lead without restriction or compensation.
12. Fair Usage
- Doctor Lead may establish and enforce reasonable usage limits, credit limits, storage limits, user limits, campaign limits, API limits, or other operational restrictions.
- Doctor Lead may restrict, throttle, suspend, or limit usage that materially impacts platform performance, security, reliability, or costs.
- Doctor Lead reserves the right to investigate unusual or excessive usage patterns.
13. Beta Features and Early Access
- Doctor Lead may provide beta, experimental, preview, or early-access features.
- Such features are provided on an "as-is" basis and may contain bugs, limitations, or inaccuracies.
- Doctor Lead may modify, suspend, discontinue, or remove beta features at any time without liability.
14. Suspension and Termination
Doctor Lead may suspend or terminate access immediately if:
- these Terms are breached;
- payment obligations are not met;
- unlawful activity is suspected;
- security risks arise;
- spam complaints occur;
- misuse of the Service occurs;
- use of the Service creates legal, regulatory, operational, or reputational risk.
Customers may stop using the Service at any time.
Sections intended to survive termination shall remain in effect following termination.
15. Confidentiality
Each party agrees to protect the confidential information of the other party using reasonable care.
Confidential information does not include information that:
- is publicly available;
- was already lawfully known;
- is independently developed; or
- must be disclosed by law.
16. Warranty Disclaimer
The Service is provided on an "as-is" and "as-available" basis.
To the fullest extent permitted by law, Doctor Lead disclaims all warranties, whether express, implied, statutory, or otherwise.
Doctor Lead does not warrant that:
- the Service will be uninterrupted;
- the Service will be error-free;
- all data will be accurate;
- all integrations will remain available; or
- the Service will meet every Customer requirement.
17. Limitation of Liability
To the fullest extent permitted by law, Doctor Lead shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages.
Doctor Lead shall not be liable for loss of profits, revenue, business opportunities, goodwill, data, or anticipated savings.
Doctor Lead's total aggregate liability arising out of or relating to the Service shall not exceed the total fees paid by the Customer to Doctor Lead during the six (6) months immediately preceding the event giving rise to the claim.
18. Indemnity
The Customer agrees to defend, indemnify, and hold harmless Doctor Lead, Lighthouse Advisory, their officers, employees, contractors, and affiliates from any claims, liabilities, damages, losses, penalties, fines, costs, or expenses arising from:
- Customer Data;
- Customer communications;
- Customer outreach activities;
- violation of laws or regulations;
- breach of these Terms;
- misuse of the Service.
19. Changes to Service and Terms
- Doctor Lead may modify, update, suspend, or discontinue any part of the Service at any time.
- Doctor Lead may update these Terms from time to time.
- Continued use of the Service after updated Terms become effective constitutes acceptance of the revised Terms.
20. Governing Law and Dispute Resolution
- These Terms shall be governed by and construed in accordance with the laws of Singapore.
- Before commencing formal legal proceedings, the parties agree to attempt in good faith to resolve disputes through discussions for a period of at least thirty (30) days.
- Any dispute not resolved through discussion shall be subject to the exclusive jurisdiction of the courts of Singapore.
